These Terms and Conditions Agreement govern the use of services provided by Delegato Agency the "Agency" to clients, the “Client” seeking Virtual Assistant (VA) matching and related services. By engaging with our services, the Client agrees to these Terms and Conditions.
Agreement Overview
The Agency offers services for matching Clients with Virtual Assistants (VAs) who are suited to their business needs. The details of the terms, fees, and specific agreements regarding VA services, as well as payment structures, will be discussed and outlined in a separate contract between the Agency and the Client.
Services Provided
The Agency’s services include:
VA Matching: The Agency will assess the Client's needs and match them with an appropriate Virtual Assistant (VA).
VA Recruitment and Vetting: The Agency will conduct recruitment and vetting processes, including interviews and skill assessments, to ensure the VA is qualified.
Ongoing Support: The Agency provides ongoing support to facilitate effective working relationships between the Client and VA.
All specifics related to the scope of work, task details, and requirements of the VA will be discussed and finalized between the Agency and the Client through direct consultation and contract.
Payment Structure
The Client agrees to pay the Agency for services rendered according to the terms outlined in the individual service agreement or contract, which will include:
Recruitment and Matching Fees: A one-time fee for the Agency’s matching and recruitment services, payable before the Client is introduced to the VA.
Retainer or Hourly Fees: Ongoing fees for VA services, including payment arrangements, will be discussed and agreed upon in the contract. The Client will be invoiced directly by the Agency for such services.
The payment details and arrangements, including how and when payments will be made, will be outlined in the specific contract between the Agency and the Client. This agreement will ensure clarity and transparency regarding the financial aspects of the services.
Client and VA Responsibilities
Client Responsibilities: The Client is responsible for providing clear and accurate details regarding their needs and ensuring timely payments to the Agency for services rendered. The Client is also responsible for working collaboratively with the VA and providing necessary guidance for completing tasks.
VA Responsibilities: The VA will provide services in accordance with the agreed-upon tasks, under the supervision and guidance of the Client. VAs are expected to maintain a high standard of professionalism and quality.
Confidentiality
Both the Agency and the Client agree to maintain the confidentiality of any sensitive or proprietary information shared during the course of the engagement. All personal and business-related information will be handled in accordance with applicable privacy laws and will only be shared with the relevant parties when necessary for the execution of services.
Termination
The Client or the Agency may terminate the service agreement at any time, provided that either party gives written notice to the other. Specific termination conditions, including any notice period or fees, will be discussed in the contract. Upon termination, all unpaid fees for services rendered up to that point will be due and payable.
Limitation of Liability
The Agency’s liability for any claims arising from the provision of services is limited to the amount paid by the Client for the services in the applicable contract. The Agency is not responsible for any damages or losses arising from the Client’s use of the VA’s services, unless due to the Agency’s negligence.
Independent Contractors
The VA is an independent contractor, not an employee of the Agency. The Agency facilitates the matching of VAs with Clients, but the relationship between the Client and VA is strictly between the two parties. The Agency is not responsible for the VA’s actions beyond the scope of the recruitment and matching process.
Changes to Terms and Conditions
The Agency reserves the right to modify or update these Terms and Conditions at any time. Any updates will be communicated to the Client, and new terms will be discussed and agreed upon in the context of the contract. Clients will be informed of any significant changes, and continued use of the Agency's services will constitute acceptance of the updated terms.
Dispute Resolution
Any disputes arising from the use of the Agency’s services or the terms of this Agreement will be resolved through mediation or arbitration in the jurisdiction where the Agency operates. The Client agrees to resolve disputes in good faith and in accordance with the processes outlined in the individual contract.
